Terms of Use.
These Terms explain what PixlPass is, what it is not, and the ground rules for using it. We keep the important parts direct: we build the booking software, organizers run the events, and Tixr handles the tickets.
1. Agreement
These Terms of Use ("Terms") are a binding agreement between you and Pixl Events Inc., a Colorado corporation ("Pixl Events", "we", "us"), covering your use of the PixlPass platform and this website (together, the "Service"). By using the Service you accept these Terms. If you use PixlPass on behalf of a company, you represent that you can bind that company.
2. What PixlPass is
PixlPass is software for event organizers: panel and session booking, live capacity tracking, QR based check-in, schedules, and attendee management for conventions, conferences, and multi-day events. PixlPass provides the software layer for events. We do not produce, host, staff, or operate the events themselves.
3. Events are run by organizers
Every event on PixlPass is created and controlled by its organizer. Organizers are solely responsible for their event’s content, schedule, capacity decisions, admission and conduct policies, cancellations, postponements, and compliance with applicable law. PixlPass displays information provided by organizers and ticketing partners and does not guarantee its accuracy.
4. Accounts and acceptable use
You are responsible for your account credentials and for activity under your account. When using the Service you agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Interfere with or disrupt the Service, probe or test its vulnerabilities, or bypass its security or rate limits.
- Scrape, harvest, or bulk-extract data, including attendee data, outside the features we provide.
- Reverse engineer, copy, resell, or create derivative works of the Service.
- Misrepresent your identity or affiliation, or submit false information through our forms.
- Use attendee data obtained through the Service for any purpose beyond running the relevant event.
5. Intellectual property
The Service, including its software, design, and content we create, is owned by Pixl Events Inc. and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. Organizers retain ownership of the content and data they bring to the platform and grant us the license needed to operate the Service for them.
6. Third-party services
The Service integrates with third-party services, including Tixr for ticketing. Your use of those services is governed by their own terms and policies, and we are not responsible for them. Links to third-party sites are provided for convenience.
7. Service availability
We engineer for reliability, with our front end on Vercel’s edge network and our back end on AWS designed for redundancy, and we work to keep the Service available around the clock. Even so, the Service is provided on an "as is" and "as available" basis. We do not warrant that it will be uninterrupted, error free, or that it will meet every requirement of a particular event.
8. Disclaimers
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We are not responsible for the acts or omissions of event organizers, venues, Tixr, or other third parties, including event cancellations, ticketing issues, venue conditions, or accessibility of events.
9. Limitation of liability
To the fullest extent permitted by law, Pixl Events Inc. will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from or related to the Service. Our total liability for any claim relating to the Service is limited to the greater of the amounts you paid us for the Service in the twelve months before the claim or one hundred US dollars. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
10. Indemnification
You agree to indemnify and hold harmless Pixl Events Inc. and its officers, employees, and agents from claims, damages, and expenses, including reasonable attorney fees, arising from your use of the Service, your content, your events, or your violation of these Terms or applicable law.
11. Termination
You may stop using the Service at any time. We may suspend or terminate access that violates these Terms, creates risk for the platform or other users, or as required by law. Sections that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, and indemnification, survive.
12. Governing law
These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any dispute arising from these Terms or the Service will be brought exclusively in the state or federal courts located in Colorado, and you consent to their jurisdiction.
13. Changes to these Terms
We may update these Terms as the Service evolves. The current version will always be posted here with its effective date, and material changes for account holders will come with direct notice. Continued use of the Service after changes take effect means you accept the updated Terms.
